Developer License Agreement

License Grant

This Developer License ("License") grants you a perpetual, non-exclusive, non-transferable license to access and use the source code of Hailstorm ("Software") solely for internal business purposes within your organization.

The License permits you to:

• Use the Software internally within your organization
• Modify, adapt, and customize the source code to meet your specific requirements
• Deploy and distribute modified versions to employees and contractors within your organization
• Integrate the Software into internal tools and workflows

Permitted Use Cases

• Internal API testing and development workflows
• Integration into proprietary internal tools and platforms
• Customization for enterprise-specific security requirements
• Deployment on company-owned or leased infrastructure

Prohibited Uses

This License strictly prohibits the following activities:

• Commercial Resale: You may not sell, sublicense, or redistribute the Software or any derivative works to third parties
• SaaS Offering: You may not offer the Software or modified versions as a service to external parties
• Competitor Use: You may not use the Software to develop competing products
• Public Distribution: You may not publicly distribute source code or binaries outside your organization

Intellectual Property Rights

All intellectual property rights, including but not limited to copyrights, patents, trademarks, and trade secrets, remain the exclusive property of Hailstorm. This License does not grant you ownership of any intellectual property rights.

Any modifications, improvements, or derivative works created by you remain owned by you, subject to the restrictions in this License. You grant Hailstorm a perpetual, irrevocable, worldwide, royalty-free license to use any feedback or suggestions you provide.

Disclaimer and Limitation of Liability

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. THE SOFTWARE IS PROVIDED WITHOUT ANY REPRESENTATION OR WARRANTY THAT IT WILL BE ERROR-FREE OR WILL OPERATE UNINTERRUPTED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HAILSTORM API CLIENT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OF THE SOFTWARE, INCLUDING BUT NOT LIMITED TO PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; LOSS OF USE, DATA, OR PROFITS; BUSINESS INTERRUPTION; OR PERSONAL INJURY.

THE FOREGOING LIMITATIONS SHALL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.

Governing Law

This License Agreement shall be governed by and construed in accordance with the laws of the jurisdiction where Hailstorm operates, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of courts located in that jurisdiction.
